1. Eligibility. The “Give Joy!” Sweepstakes (“Sweepstakes”) is open to residents of the United States and the District of Columbia, who are eighteen (18) years of age or older at the time of entry. Employees of Fossil, Inc., Fossil Partners L.P. and their parents, subsidiaries and affiliated companies as well as the immediate family (spouses, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited by law.

2. Sponsor. The Sweepstakes is sponsored by Fossil Partners, L.P., 2280 N. Greenville Ave., Richardson, Texas 75082 (the “Sponsor”).

3. Agreement to Official Rules. By participating in the Sweepstakes, you fully and unconditionally agree to and accept these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

4. Entry Period. The Sweepstakes begins November 7, 2008 at 8:00am Central Time (“CT”) and ends at 11:59 pm CT, December 31, 2008 (the “Promotion Period”). Sponsor’s computer is the official time keeping device for this Sweepstakes.

5. How to Enter: During the Promotion Period, visit www.fossil.com and follow the links and instructions to the Sweepstakes area of the website. Fill out the online entry form completely, and submit the form. You will be required to either (a) select the person to whom the “gift” prizes will be awarded; or (b) select the option to have the retail value of the “gift” prizes donated to a charity of Sponsor’s choice. Upon completion and submission of the form, you will automatically be entered with one (1) entry into the Sweepstakes. You may only enter the Sweepstakes once, however, an additional entry, up to a maximum of 10 additional entries, is granted to you for each valid email you provide in the “Send to a Friend” component of the submission form to send notification of the Sweepstakes to someone else. Invalid email addresses or undeliverable emails will not count toward additional entries and the determination of whether an email address is valid is in the sole discretion of Sponsor. All entries are the property of Sponsor.

Limit: You may only enter the Sweepstakes once, however, an additional entry is granted to you, up to a maximum of 10 additional entries, for each valid email you provide in the “Send to a Friend” component of the submission form to send notification of the Sweepstakes to someone else. Sponsor reserves the right to disqualify multiple entries not authorized through the “Send to a Friend” component. Incomplete or inaccurate entry forms are void. Any attempt to obtain more than the stated number of entries by using multiple/different email addresses, identities, or any other method will void your entries and you will be disqualified. Use of any robotic, repetitive, programmed, automated or similar entry methods to participate is prohibited and will result in disqualification. Sponsor is not responsible for any lost, late, incomplete, invalid, unintelligible, or misdirected registrations, which will be disqualified. In the event of a dispute as to any entry, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

6. Prizes: One prize package will be awarded.

Prize package for you and a selected person
- If, upon entry into the Sweepstakes, you chose the option of providing the name of a person to whom the “gift” prizes will be awarded, then both you and that pre-selected person will receive 1 FOSSIL® product each month during the 2009 calendar year for a total of 12 products each. The actual prizes will be selected by the Fossil brand team of experts. Prizes will be selected based upon the gender of the person receiving the prizes. The approximate retail value of the product selected to be provided each month will be between $30 and $200. The approximate retail value of the total prize package is $2,500.

Prize package for you and a charitable donation
- If, upon entry into the Sweepstakes, you chose to provide the retail value of the “gift” prizes to a charitable organization of Sponsor’s choosing, then you will receive 1 FOSSIL® product each month during the 2009 calendar year for a total of 12 products. The actual prizes will be selected by the Fossil brand team of experts. Prizes will be selected based upon the winner’s gender. The approximate retail value of the product selected to be provided each month will be between $30 and $200. At the end of the year, once the total value of all prizes awarded to you has been calculated, the total retail value of those prizes awarded to you will be donated to a charity of Sponsor’s choice. The approximate retail value of the total prize package is $2,500.

Sponsor is not responsible if any component of the prize packages becomes unavailable for any reason, in which event that portion of the prize is forfeited in its entirety and no substitution will be provided except as in Sponsor’s sole discretion. Prizes are non-transferable and no substitution will be made except as provided herein at Sponsor’s sole discretion.

7. Selection of Winners: Sponsor will randomly select one potential winner from all eligible entries received on or around January 5, 2009. Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential winner are final and binding in all matters related to the Sweepstakes. The potential winner will be notified by email instructing him/her on the winner verification and prize redemption process. The winner will be asked to verify his/her e-mail address, name and complete mailing address. The return of any prize notification as undeliverable or the inability to contact an entrant may result in disqualification. The odds of winning a prize depend on the number of eligible entries received. Once the winner has been notified, Sponsor will attempt to notify the person that the winner selected to receive the “gift” prize (if applicable). This person will be asked to verify his/her e-mail address, name and complete mailing address. If the notification for such person is returned as undeliverable or Sponsor is unable to contact such person, Sponsor will attempt to work with the winner to provide notification to his/her selected “gift” prize recipient. If, after reasonable attempts to notify such “gift” prize recipient, Sponsor is unable to so notify him/her, winner may be required to select an alternate “gift” prize recipient or elect to provide the retail value of the “gift” prize to a charity of Sponsor’s selection.

8. Verification of Potential Winners: Potential winners must comply with these Official Rules and winning is contingent upon fulfilling all requirements of the Official Rules. Each potential winner may be required to sign an affidavit of eligibility and liability/publicity release (except if prohibited) and a W-2 form and return them to Sponsor within fifteen (15) days of the date the notice or attempted notice is sent in order to claim their prize and must fulfill any such other requirements as determined by Sponsor. If potential winner fails to sign and return the affidavit of eligibility and liability/publicity release or the W-2 form within the required time period the potential winner forfeits the prize. In the event that a potential winner is disqualified for any reason, Sponsor will select an alternate winner in a random drawing from among all remaining eligible entries, up to two alternate drawings. If all potential alternate winners are disqualified for any prize, no further drawings will take place and the prize package will not be awarded.

9. Release and Limitation of Liability. Except where prohibited, by participating in the Sweepstakes, you agree to release and hold harmless Sponsor, and its subsidiaries, affiliates, suppliers, distributors, parent companies, and each of such company’s officers, directors, employees and agents (collectively the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (c) technical errors related to computers, servers, or telephone or network lines; (d) printing errors; (e) errors in the administration of the Sweepstakes or in the processing of the entries; (f) late, lost or undeliverable mail or email; or (g) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sweepstakes or receipt of any prize. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes and in no event will the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct or indirect damages. SOME JURISDICITIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. If for any reason your entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, your sole remedy is another entry in the Sweepstakes; provided that if it is not possible to award another entry due to discontinuance of the Sweepstakes for any reason, Sponsor, at its sole discretion, may elect to hold a random drawing from among all eligible entries up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. If for any reason, more than the stated number of prizes is claimed, Sponsor reserves the right to award only the stated number of prizes in a random drawing among all legitimate, unawarded, eligible prize claims.

10. Disputes. Except where prohibited, you agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded will be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of Texas or the appropriate state court located in Dallas County, Texas; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorney’s fees; and (3) under no circumstances will you be permitted to obtain awards for, and you hereby waive all right to claim, indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or your rights and obligations hereunder shall be governed by, and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules which would cause the application of laws of any jurisdiction other than the State of Texas.

11. Publicity. Except where prohibited, your participation in this Sweepstakes constitutes you consent for the Sponsor and its designee’s to use your name, likeness and state of residence for promotional purposes in any media without further considerations.

12. Privacy Policy. Information collected from you is subject to Fossil’s Privacy Policy.

13. General Conditions. Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part if it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal or civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

14. Promotion Results and Official Rules. For a list of winners and/or a copy of these Official Rules, send a hand-printed, self-addressed, stamped envelope to “Give Joy!” Sweepstakes, c/o Fossil, 2280 N. Greenville Ave., Richardson, TX 75082. Winner list requests must be received by June 1, 2009. Vermont residents may omit return postage.
